Terms
Last updated October 30, 2026
These terms apply to your use of dotemlabs.com and to any service you buy from Dotem Labs ("Dotem Labs", "we", "us"). By using the site or signing a proposal, you agree to them. If you do not agree, please do not use the site or buy our services.
Using this website
You may use the site for lawful purposes and to learn about and enquire about our services. You must not copy, scrape, or resell our content, interfere with the site, or try to access areas you are not allowed into. Our content, designs and code belong to Dotem Labs or our licensors. Information on the site is for general guidance and is not a promise of results.
Free audit and enquiries
The free audit is a review of your current online presence and a plan of suggested fixes. It is offered at no cost and creates no obligation to buy. We do not guarantee that the audit will find any specific issue or lead to any specific result.
Our services
Each project is set out in a written proposal or order form signed by both parties. The proposal describes the scope, price, timeline, deliverables and any monthly plan. The signed proposal, together with these terms, forms our agreement. If the two conflict, the proposal wins.
- Websites. We design and build your website, and set it up for search and enquiries. Timelines start once we have your content, access and approval.
- Search and AI search (SEO and AEO/GEO). We work to improve how your business appears in search and AI answers. Search results depend on many factors outside our control, so we cannot guarantee rankings, traffic or enquiries.
- Automations. We connect your forms, calendar, messages and CRM so enquiries are handled consistently. You are responsible for the content of messages sent in your name and for complying with the laws that apply to your marketing, including CASL and the TCPA.
Our work is delivered in good faith and with reasonable care and skill. Where a deliverable does not meet the scope in your signed proposal, tell us in writing within 30 days of delivery and we will fix it at no extra charge.
Your responsibilities
You will provide accurate information, content, images, and access to the accounts we need on time. You confirm you have the rights to any content you give us. You are responsible for your business, your products and services, your legal compliance, and any advice or claims you publish.
Payments
Prices are in Canadian dollars and do not include HST, GST, PST or sales tax, which will be added where applicable. US clients are invoiced in US dollars or as stated in the proposal. Setup fees are due before work starts. Monthly plans are billed in advance on the date stated in the proposal. Unless the proposal says otherwise, invoices are due within 14 days.
Late payments may accrue interest at 1.5% per month (or the maximum lawful rate, if lower). We may pause work on an overdue account until it is paid. Monthly plans have the minimum term stated in the proposal, and may be cancelled after that on the notice period stated there. Setup fees are non-refundable once work has started.
Third-party costs, such as domain names, software licences, hosting, advertising spend and tools, are billed separately unless the proposal includes them.
Intellectual property
On full payment, you own the website content and files we create specifically for you. We keep ownership of our general tools, templates, code libraries, know-how and pre-existing work, and we grant you a non-exclusive licence to use anything we include in your site. We may show your project in our portfolio unless you ask us in writing not to.
Confidentiality
Each party keeps the other's confidential information private and uses it only for the project, except where the law requires disclosure.
Cancellation
Either party may end a project by written notice. You pay for work completed and costs committed up to the date of notice. Setup fees already paid are not refundable.
Limitation of liability
To the extent the law allows, Dotem Labs is not liable for indirect, incidental, special or consequential loss, including lost profits, lost revenue, lost data or missed enquiries. Our total liability for any claim is limited to the fees you paid to us in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited under the law of your province or state.
Indemnity
You will defend and cover Dotem Labs against third-party claims arising from content you gave us, claims you published, or your breach of these terms or of law.
Disclaimers
The site and our services are provided "as is" and "as available". We do not warrant that the site will be uninterrupted or error-free, or that any third-party platform we rely on, such as a search engine, hosting provider or messaging service, will operate without changes.
Governing law and disputes
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, for all clients, including clients in the United States. Disputes will first be raised in writing and discussed in good faith for 30 days. If they are not resolved, they will go to the courts of Ontario. Each party may seek urgent relief from any court at any time.
Changes
We may update these terms. The date at the top shows the latest version. Changes do not affect a signed proposal, which stays on the terms in place when it was signed.
